Job Description

The Company Secretary will oversee statutory compliance and corporate governance for the organization. Responsibilities include maintaining registers, preparing board and shareholder documentation, and managing company registrations through the BRS portal. The role also involves advising directors on legal requirements, handling client queries, and ensuring accurate record‑keeping. A qualified professional with at least three years of relevant experience and active membership in a recognized body is required.

Qualifications & Requirements

  • • Active membership in the relevant professional body.
  • • Minimum 3 years experience in company secretarial services, corporate compliance, or business registration.
  • • Hands‑on experience using the BRS/eCitizen portal.
  • • Good understanding of Kenyan company law, corporate governance, and statutory compliance.
  • • Proven ability to prepare statutory filings, resolutions, minutes, and other corporate documents.
  • • Strong attention to detail and excellent record‑keeping skills.

  • • Prepare and submit statutory returns and regulatory filings on schedule.
  • • Maintain a compliance calendar and monitor statutory deadlines.
  • • Identify compliance gaps and recommend corrective actions.
  • • Advise management and directors on company law and corporate governance requirements.
  • • Ensure proper procedures for board and shareholder decisions.
  • • Assist in maintaining governance policies, records, and procedures.
  • • Respond to client and stakeholder queries on secretarial and compliance matters.
  • • Liaise with government agencies, directors, shareholders, and other stakeholders.
  • • Provide regular updates on registration and filing progress.
  • • Maintain accurate physical and electronic corporate records and ensure secure storage.
  • • Retrieve and provide corporate documents upon request.
