Job Description
The Senior Legal Counsel provides expert guidance on corporate governance and shared services matters for KCB Bank. Responsibilities include coordinating board meetings, preparing timely board papers, and continuously reviewing board policies, charters, and terms of reference. The role ensures legal compliance across governance structures and supports strategic decision‑making. It reports to senior management and collaborates with various business units.
Responsibilities
- • Coordinate and schedule board meetings, ensuring all required documentation is prepared and distributed on time
- • Prepare, review, and circulate board papers and meeting minutes
- • Develop, update, and enforce board policies, charters, and terms of reference
- • Provide legal advice on governance issues and shared services compliance
- • Liaise with senior executives and external counsel to support strategic initiatives
